1Definitions

The following terms have the meanings set out below wherever used in this document.

Term	Meaning
"MOSIMS" / "we" / "us"	Refers to MOSIMS, the school management platform and its operating company, providing the software and services described herein.
"Client" / "School" / "you"	Refers to the school, institution, or organization that has subscribed to use the MOSIMS Platform.
"Platform"	Refers to the MOSIMS web application, mobile application, and all associated modules, features, and services.
"Subscription Period"	The active period during which the Client has paid for and has access to the Platform, typically one (1) year unless otherwise agreed.
"School Data"	All data entered into or generated by the Platform on behalf of the Client, including student records, academic results, financial records, and staff information.

2Services Provided

Subject to payment of applicable fees, MOSIMS provides the Client with access to the following core services:

Academic and class management, including examinations, NECTA-compliant grading, and report generation
Fee and finance management, including expenses, budgets, and payroll
SMS communication tools for reaching parents and students
Student records management, including data import and student portal access
Multi-branch support for schools operating more than one campus

The specific modules and features included are as stated in the Client's sent Quotation, which forms part of this agreement.

3Subscription & Fees

Access to the Platform is provided on a subscription basis. Unless otherwise agreed in writing:

Subscription fees are payable annually, in advance, prior to account activation or renewal
Fees are as stated in the Client's Quotation and are exclusive of any applicable government taxes unless stated otherwise
SMS messaging is billed separately based on actual usage, at the prevailing MOSIMS SMS rate
Failure to renew before the subscription end date may result in suspension of access until payment is received

MOSIMS reserves the right to adjust subscription pricing for future renewal periods, with at least thirty (30) days' notice to the Client before the change takes effect.

4Data Ownership & Privacy

The Client retains full ownership of all School Data entered into the Platform
MOSIMS acts as a data processor and will not use, sell, or share School Data with third parties except as necessary to provide the Service (e.g. SMS gateway delivery) or as required by law
MOSIMS implements reasonable technical and organizational measures to protect School Data, including encrypted storage and access controls
Regular automated backups are performed; however, the Client is encouraged to periodically export critical reports independently
Upon termination, the Client may request an export of their School Data within thirty (30) days; after this period MOSIMS may delete the data in accordance with its data retention policy

5Support & Service Levels

As part of the subscription fee, MOSIMS provides the following support services:

Initial system setup, school configuration
Ongoing technical support via phone, email, or WhatsApp during business hours for issues relating to the Platform's normal operation

6Client Responsibilities

Provide accurate and complete information required for setup and configuration
Maintain the confidentiality of login credentials issued to staff and students, and promptly report any suspected unauthorized access
Ensure a reasonably stable internet connection is available at each branch for day-to-day use of the Platform
Use the Platform in compliance with applicable Tanzanian laws, including data protection and education regulations

7Intellectual Property

The MOSIMS Platform, including its source code, design, trademarks, and underlying technology, remains the exclusive property of MOSIMS. Subscription grants the Client a limited, non-exclusive, non-transferable license to use the Platform for its own internal school management purposes during the Subscription Period. No ownership rights in the software are transferred to the Client.

8Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed by the other party in the course of this relationship, and to use such information solely for purposes of fulfilling this agreement. This obligation survives termination of the subscription.

9Termination

Either party may choose not to renew the subscription at the end of the current Subscription Period
MOSIMS may suspend or terminate access if fees remain unpaid after a reasonable grace period following the due date, or in cases of misuse of the Platform
Upon termination, the Client's right to access the Platform ends; data export requests are handled as described in Section 4

10Limitation of Liability

To the maximum extent permitted by law, MOSIMS's total liability arising from or relating to the use of the Platform shall not exceed the total subscription fees paid by the Client in the twelve (12) months preceding the claim. MOSIMS shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data, arising from circumstances outside its reasonable control (including third-party service outages such as SMS gateways, banks, or internet providers).

11Roadmap Features Disclaimer

This document may reference features that are in development or planned for future release ("Roadmap Features"), such as the upcoming Control Number Fee Collection feature. Roadmap Features are provided for informational purposes only, are not part of the current subscription, are not guaranteed to be delivered on any particular timeline, and do not form part of the services the Client is currently paying for. MOSIMS will communicate separately once any Roadmap Feature becomes generally available.

12Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising from this agreement shall first be addressed through good-faith negotiation between the parties, and if unresolved, may be referred to arbitration or the competent courts of Tanzania.

13Amendments

MOSIMS may update these Terms from time to time to reflect changes in the Platform, applicable law, or business practices. Material changes will be communicated to the Client's registered contact at least thirty (30) days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
